    The website https://www.eggnest.ai/ (the “Site”) is owned and operated by EggNest.ai, Inc. (“EggNest,” “we,” “our,” or “us”). The Site currently provides information related to the Company’s products and services and the ability for customers to contact the Company for further information, including for inquiring about obtaining Company’s services (the “Services”).

    These Terms of Use (“Terms”) constitute a binding agreement between you and EggNest. Please read carefully through all sections of these Terms. Your access to and use of the Site is subject to these Terms and all applicable laws, and EggNest reserves the right to terminate your access to the Site if you violate these Terms. If you do not agree to these Terms, then you may not use the Site. These Terms may be changed by EggNest from time to time without notice to you, and the governing version will be posted on the Site. Please review the posted terms on a regular basis, as your use of the Site will be governed by the then-current Terms.

    1. ACCESS TO THE SERVICE

    1.1 License. Subject to these Terms, EggNest grants you a non-transferable, non-exclusive, revocable, limited license to access the Site and to use the Services made available to you, in each case solely for your own personal or internal business purposes.

    1.2 Certain Restrictions.     1.4 No Support or Maintenance. You acknowledge and agree that EggNest will have no obligation to provide you with any support or maintenance in connection with the Site or Services, unless otherwise agreed upon between you and EggNest in a separate, written agreement.

    1.5 Ownership. Excluding any Content that you may provide (defined in Section 5 below), you acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Services and its content are owned by EggNest or EggNest’s suppliers. You hereby grant to EggNest a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate into the Services any suggestions, enhancement requests, recommendations, or other feedback you provide relating to the Eggnest’s Site, products or services (“Feedback”). EggNest will treat any Feedback you provide to EggNest as non-confidential and non-proprietary. You agree that you will not submit to EggNest any information or ideas that you consider to be confidential or proprietary.

Subject to our obligations under the Privacy Policy, you grant us and our affiliates and successors a worldwide, non-exclusive, transferable, irrevocable, perpetual, and sub-licensable right to use, reproduce, adapt, modify, publish, prepare derivative works of, publicly perform, distribute, and publicly display your Content for any legal purpose related to the Services.

No compensation will be paid to you with respect to EggNest’s or its sublicensees’ use of your communications.     7. PROHIBITED ACTIVITIES AND USES

    TO THE FULLEST EXTENT ALLOWED BY LAW, EGGNEST DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SITE, SERVICES, PRODUCTS, OR OTHER POSTED MATERIAL ON THE SITE IN TERMS OF ITS CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY OR OTHERWISE.

    BY PROVIDING THE SERVICES ON THE SITE, EGGNEST DOES NOT IN ANY WAY PROMISE THAT THE SERVICES WILL REMAIN AVAILABLE TO YOU. EGGNEST IS ENTITLED TO TERMINATE ALL OR PART OF ANY OF THE SITE AT ANY TIME, IN ITS SOLE DISCRETION WITHOUT NOTICE TO YOU.

     

    10. LIMITATION OF LIABILITY

    IN NO EVENT WILL EGGNEST BE LIABLE TO YOU OR ANY PARTY FOR ANY DIRECT, INDIRECT, SPECIAL OR OTHER CONSEQUENTIAL DAMAGES FOR ANY USE OF THE SITE, PRODUCTS PURCHASED ON THE SITER, OR ON ANY OTHER HYPERLINKED WEBSITE, INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA OR OTHERWISE, EVEN IF EGGNEST IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    You agree to indemnify, defend and hold harmless EggNest and its affiliates, employees, agents, representatives and third-party service providers, for any and all claims, demands, actions, liability, fines, penalties and expenses that may arise from any of your acts through the use of the Sites. Such acts may include, but are not limited to, (i) your use (including any misuse) of the Site and Services, (ii) providing content to or communicating with us or our affiliates, (iii) unauthorized use of material obtained through the Sites, (iv) engaging in a prohibited activity, or (v) any other action that breaches these Terms.

    The Site may contain links to other third-party websites. Such third-party websites are maintained by persons or organizations over which EggNest exercises no control. Your use of these third-party websites is governed by the terms of use and privacy policy of such websites. EggNest expressly disclaims any responsibility for the content or results from your use of such third-party websites.

     

    13. COPYRIGHT COMPLAINTS

    EggNest respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide EggNest’s copyright agent with the following information.

    • • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

    • • Description of the copyrighted work that you claim has been infringed;

    • • The location on the Site of the material that you claim is infringing;

    • • Your address, telephone number and e-mail address;

    • • A statement that your claim of infringement is based on a good faith belief; and

    14. MISCELLANEOUS PROVISIONS

    14.1 Severability. If any term or provision in these Terms is found to be void, against public policy, or unenforceable by a court of competent jurisdiction and such finding or order becomes final with all appeals exhausted, then the offending provision shall be deemed modified to the extent necessary to make it valid and enforceable. If the offending provision cannot be so modified, then the same shall be deemed stricken from these Terms in its entirety and the remainder of these Terms shall survive with the said offending provision eliminated.

    14.2 Entire Agreement. These Terms constitute the entire agreement between you and EggNest regarding the use of the Site and the Services. EggNest’s failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. These Terms create no relationship of employment, agency, partnership, or joint venture between the parties. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without EggNest’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. EggNest may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.

    14.3 Website Availability. We cannot guarantee that the Site will be available 100% of the time because public networks, such as the internet, occasionally experience disruptions. Although EggNest strives to provide a reliable website, interruptions and delays in accessing the Site are unavoidable, and EggNest disclaims any liability for damages resulting from such problems.

    14.4 Typographical Errors. Information on the Site may contain technical inaccuracies or typographical errors. We attempt to make the Site’s postings as accurate as possible, but EggNest does not warrant the content of the Site is accurate, complete, reliable, current, or error-free.
